About the Role

Key Accountabilities: 

Corporate governance
- Co-ordinate preparation of agenda and other documents for quarterly Board and Committee meetings
- Attending all board and committee meetings to provide guidance and advice on Saudi law and procedure to the board and committee members and to take accurate minutes
- Circulate and finalise minutes and actions trackers following each board and committee meeting and following up with relevant parties in relation to the same

Litigation
- Pre-disputes: provide the business with pre-litigation advice (on mostly Saudi court litigation) and strategy, in consultation with the GEMS General Counsel/ SVP Legal (Dubai based team)
- Develop case strategy and arguments, in consultation with SVP Legal GEMS General Counsel/ SVP Legal ((Dubai based team)
- Engage, effectively instruct and manage external counsel on disputes

Corporate/commercial transactions
- Support the business on high value commercial contracts
- Assist GEMS General Counsel/ SVP Legal (UAE) on Saudi corporate M&A and joint ventures including drafting Term Sheets, coordinating due diligence exercises, instructing and managing external counsel and providing advice and summaries to internal business teams
- Advising on legal structuring and licensing issues
- Co-ordinating with Paralegals with respect to POAs, resolutions, constitutional documents and licensing issues

Real Estate and construction
- Review and negotiate high value leases (initially under the supervision of more senior team members based in Dubai)
- Advise on construction contracts for new school projects and co-ordinating advice from external counsel on such projects

Regulatory advice
- Providing regulatory advice to the business on various areas including Private Education regulations, child safeguarding, data protection, anti-bribery and corruption, foreign investment licensing etc
- Assisting UAE based legal team to implement policies in the above areas, based on GEMS own policies
- Keeping up to date and providing updates to the General Counsel on development in Saudi law

- Regulatory advice
- Assisting on department projects such as development of legal templates, policies and procedures etc

Job-Specific Knowledge & Skills:
- Must have at least 3 years experience on the ground in Saudi Arabia
- Experience of managing local court (Saudi) litigation required
- Experience of drafting and negotiating commercial contracts (in both English and Arabic)
- M&A and joint venture experience preferred but not essential
- Strong drafting and communication skills
- Must be a self starter with the willingness and ability to operate independently with limited supervision
- Strong relationship and client management skills and ability to prioritize effectively
- Must be bilingual English/Arabic (written and spoken)
